1. Agreement and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Baselinq (Pty) Ltd ("Baselinq", "we", "us", or "our"), a company registered in South Africa.

By accessing or using the Baselinq platform and services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use our services.

These Terms are governed by the laws of South Africa and the United Kingdom, depending on your jurisdiction and the nature of services provided.

2. Service Description

Baselinq provides a construction contract governance and operational intelligence platform that includes:

• RFI (Request for Information) management systems
• Document control and version management
• Project communications and collaboration tools
• Claims prevention and dispute resolution analytics
• AI-powered construction intelligence and insights
• Performance monitoring and delivery tracking
• Support for JBCC, NEC, FIDIC, and GCC contract standards

3. User Accounts and Registration

Account Creation

To use our services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

User Responsibilities

• Provide accurate and up-to-date information
• Maintain the security of your login credentials
• Notify us immediately of any unauthorised use
• Ensure compliance with applicable construction industry regulations
• Use the platform in accordance with these Terms

4. Permitted Use and Restrictions

Permitted Use

You may use our services for legitimate construction project management, contract governance, and operational intelligence purposes in accordance with these Terms.

Prohibited Activities

You agree not to:

• Use the platform for any unlawful or fraudulent purposes
• Attempt to gain unauthorised access to our systems
• Reverse engineer or attempt to extract source code
• Upload malicious content or harmful software
• Interfere with the platform's security features
• Share account credentials or access rights
• Use automated systems to access the platform without permission
• Violate any applicable laws or regulations

5. Data and Content

Your Data

You retain ownership of all data, documents, and content you upload to our platform. By using our services, you grant us a limited licence to process, store, and analyse your data to provide our services.

Content Standards

All content must be:

• Accurate and not misleading
• Related to legitimate construction activities
• Compliant with applicable laws and regulations
• Respectful and professional in nature
• Free from confidential information of third parties (unless authorised)

6. Subscription and Payment Terms

Subscription Plans

Our services are provided under various subscription plans with different features and pricing. Details of current plans are available on our platform.

Payment Terms

• Subscription fees are payable in advance
• All prices are exclusive of applicable taxes
• Automatic renewal unless cancelled in accordance with these Terms
• No refunds for partial subscription periods
• Price changes with 30 days' notice

7. Service Availability and Support

We strive to maintain high service availability but cannot guarantee uninterrupted access. We provide reasonable support during business hours in South Africa.

Maintenance and Updates

We may perform scheduled maintenance and deploy updates to improve our services. We will provide reasonable notice of planned maintenance that may affect service availability.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the amount paid by you in the 12 months preceding the claim
• We exclude liability for indirect, consequential, or special damages
• We do not warrant that our services will meet all your requirements
• You acknowledge that construction projects involve inherent risks
• Our platform provides tools and insights but does not replace professional judgement

Nothing in these Terms excludes or limits liability for death, personal injury, fraud, or other matters where exclusion is prohibited by law.

9. Indemnification

You agree to indemnify and hold harmless Baselinq, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Termination by You

You may terminate your subscription at any time through your account settings. Termination will be effective at the end of your current billing period.

Termination by Us

We may suspend or terminate your access immediately if you breach these Terms or engage in prohibited activities. We may also terminate with 30 days' notice for other reasons.

Effects of Termination

Upon termination, your access will cease and you may request export of your data within 30 days. We will delete your data in accordance with our Privacy Policy and data retention requirements.

11. Dispute Resolution

Governing Law

These Terms are governed by South African law. For international users, certain provisions may also be subject to local consumer protection laws.

Dispute Resolution Process

• First, contact us directly to resolve disputes informally
• If unsuccessful, disputes may be referred to mediation
• Final disputes subject to arbitration under South African law
• Consumer rights under local law remain unaffected

12. General Provisions

Amendments

We may modify these Terms at any time. Material changes will be communicated with 30 days' notice. Continued use after changes constitutes acceptance.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.
